These Terms of Use (“Terms”) govern your access to and use of www.simplyehs.com
and the SimplyEHS subscription products. SimplyEHS is owned and operated by ESC Environment
Singapore Pte Ltd (“ESC”, “we”, “our”, or “us”). By accessing the website or purchasing a
subscription, you agree to be bound by these Terms and our Privacy Policy. If you do not agree,
please do not use this website.
1.Eligibility and Accounts
1.1 You must be at least 18 years old and legally capable of entering into a binding agreement to use
this website. If you create an account, you are responsible for providing accurate information,
safeguarding your login credentials, and ensuring that access is limited to authorised personnel
within your organisation. You are responsible for all activities conducted under your account. We
reserve the right to suspend or terminate accounts for misuse or breach of these Terms.
2. Subscription and Access
2.1 SimplyEHS provides downloadable Environmental, Health and Safety (EHS) Legal Registers on an
annual subscription basis. Upon successful payment, access to the register will be made available
through your account or by email.
3. Licence Scope
3.1 Subscriptions are sold on a per-entity basis. The licence granted is non-exclusive and nontransferable and is limited to internal use by the single legal entity for which the register is
purchased (the “Licensed Entity”). Sharing across departments within the Licensed Entity is
permitted.
3.2 Employees of a parent company, regional headquarters, or affiliate may access the register
where they are acting on behalf of the Licensed Entity in managing its compliance obligations.
However, use of the register to support the compliance activities of any other legal entity,
subsidiary, affiliate, or group company requires a separate subscription.
4. Restrictions
4.1 You may not reproduce, distribute, resell, publish, or share the content outside the Licensed
Entity. You may not provide access credentials to unauthorised parties or use the register for the
benefit of any entity other than the Licensed Entity.
5. Nature of the Content
5.1 SimplyEHS provides regulatory reference materials intended to support internal compliance
management. The content is provided for general informational purposes only and does not
constitute legal, regulatory, or professional advice.
5.2 Your purchase or use of a SimplyEHS subscription does not create a consultant-client, advisory,
or professional services relationship with ESC. Such a relationship only arises where your
organisation separately engages ESC under a written consultancy or advisory agreement, including where customised regulatory support is formally contracted. In such cases, the applicable written agreement (including ESC’s General Terms and Conditions of Business, where incorporated) shall govern that engagement.
5.3 While we strive to ensure that content is accurate and updated quarterly, we do not guarantee
that the register captures every regulatory requirement or reflects changes immediately upon
enactment. Users remain responsible for assessing applicability and compliance obligations.
6. Billing, Renewal, Refund, and Cancellation
6.1 Subscriptions are annual. Credit card subscriptions renew automatically each year unless
cancelled before the renewal date. Renewal charges will be applied to your original payment
method.
6.2 You may cancel at any time through your account or by contacting us. Cancellation prevents the
next renewal, and access will continue until the end of your current subscription period. No
refunds are provided for any unused portion of the subscription.
6.3 Invoice-based subscriptions do not renew automatically. Renewal requires payment prior to the
expiry date to continue access.
6.4 All purchases are final and non-refundable, as digital content is made available upon activation of
the subscription. We reserve the right to adjust pricing for future subscription periods.
7. Intellectual Property
7.1 All content provided through SimplyEHS, including text, structure, formatting, and compilation of
regulatory material, is the intellectual property of ESC or its licensors. No ownership rights are
transferred to you. You may not modify, reproduce, or distribute the content for commercial
purposes without written consent.
8. Acceptable Use
8.1 You agree not to use the website or content in any unlawful manner, attempt unauthorised
access to systems, use scraping or automated tools to extract content, interfere with site
security, or misuse the register in ways that breach these Terms.
9. Indemnity
9.1 You agree to indemnify and hold ESC harmless from any claims, losses, liabilities, or expenses
arising from your misuse of the website or content, breach of these Terms, unauthorised
distribution of the register, or reliance on the content beyond its intended purpose.
10. Limitation of Liability
10.1 To the maximum extent permitted by law, ESC shall not be liable for any indirect, incidental,
consequential, or special damages arising out of or related to your use of the website or
subscription content.
10.2 ESC’s total aggregate liability arising from any claim related to the subscription shall not exceed
the total subscription fees paid by you in the twelve (12) months preceding the claim.
10.3 Your use of the website and content is at your own risk.
11. Third-Party Services
11.1 Payment processing is handled by third-party providers. ESC is not responsible for the practices,
availability, or performance of third-party services.
11.2 The website may contain links to third-party websites. We are not responsible for their content
or policies.
12. Termination
12.1 We may suspend or terminate access without notice if you breach these Terms. Upon
termination, your licence to use the content ceases immediately.
13. Force Majeure
13.1 ESC shall not be liable for any delay or failure to perform its obligations under these Terms
where such delay or failure results from events beyond its reasonable control, including but not
limited to technical failures, cyber incidents, system outages, regulatory changes, acts of
government, natural disasters, or other force majeure events.
14. Governing Law
14.1 These Terms are governed by the laws of the Republic of Singapore. Any disputes arising out of
or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of
Singapore.
15. Amendments
15.1 We may update these Terms from time to time. Updated versions will be posted on this page.
Continued use of the website constitutes acceptance of the revised Terms.
